SECTION 1: CITYSCAPE MAGAZINE WEBSITE TERMS OF USE
1. Introduction
This section (together with the documents referred to on it) tells you the terms of use (“Terms of Use”) on which you may make use of this website (“our site”), whether as a guest or a registered user. Please read these Terms of Use carefully before you start to use the site. By using our site, you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, please refrain from using our site.
2. INFORMATION ABOUT US
Our site is operated by as Nicholas Publishing International FZ LLC ("we", “our”, “us”). We are registered under the laws of Dubai and have our business address at G06, Loft Office 1, Entrance C, Dubai Media City, United Arab Emirates
3. ACCESSING OUR SITE
3.1 Access to our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice. We will not be liable if for any reason our site is unavailable at any time or for any period.

3.3 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.

4. INTELLECTUAL PROPERTY

4.1 For the purposes of these Terms of Use, “intellectual property” means patents, inventions, know how, trade secrets and other confidential information, registered designs, copyrights, database rights, design rights, rights affording equivalent protection to copyright, database rights and design rights, semiconductor topography rights, trade marks, service marks, logos, domain names, business names, trade names, moral rights, and all registrations or applications to register any of the aforesaid items, rights in the nature of unfair competition rights and rights to sue for passing off and rights in the nature of any of the aforesaid items existing anywhere in the world at any time.
4.2 We are the owner or the licensee of all intellectual property rights in our site and in the material published on it. Those works are protected, amongst other things, by copyright laws and treaties around the world. All such rights are reserved.
4.3 You may print off one copy, and may download extracts, of any page(s) from our site solely for private use and you may draw the attention of others within
your organisation to material posted on our site.
4.4 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

7.4 Subject to clause 7.2, we will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent on negligent misrepresentations) or otherwise out of or in connection with these Terms of Use for any: (i) direct, indirect or consequential loss or damage incurred by you in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it; or (ii) economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or (iii) loss of goodwill or reputation; or (iv) special or indirect losses; or (iv) any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable suffered or incurred by you arising out of or in connection with these Terms of Use.

Subscriptions concluded through our site are governed by our Subscription Terms and Conditions (see below).
10.Viruses, hacking and other offences
10.1 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.
10.2 By breaching this provision, you might commit a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
10.3 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

SECTION 2: CITYSCAPE MAGAZINE SUBCRIPTION TERMS AND CONDITIONS
These subscriptions terms and conditions ("Conditions") set out the basis on which you can subscribe for our Cityscape Magazine (“Magazine”). Please read them carefully as they contain important information.
This website (“our site”) and the Magazine are operated and owned by IIR Holdings Limited, part of the Informa Group, trading as Nicholas Publishing International FZ LLC ("we", “our”, “us”). We are registered under the laws of Dubai and have our business address at 3rd Floor, Sultan Centre, P.O. Box 21743, Dubai, United Arab Emirates.
By accessing our site and/or subscribing to the Magazine you agree to be bound by these Conditions. If you do not agree to be bound by these Conditions you may not use or access our site or the Magazine.
1. GENERAL
1.1 These Conditions, our terms and conditions of site use and our privacy policy (accessible at: www.cityscape-magazine.com/pp.aspx) apply to the subscription to the Magazine, whether subscribing via our online order form (“online order form”) on our site or via our hard copy order form (“hard copy order form”) (each an “order form”) .
1.2 We reserve the right to change these Conditions from time to time. Any such changes will take effect when these Conditions are reprinted and/or posted on our site and it is your responsibility to read the Conditions on each occasion you use or access our site or the Magazine it shall signify your acceptance to be bound by the latest Conditions.
2. ORDERS
2.1 Orders for all Magazine subscriptions must be made on an order form provided to you by us:
a. Orders submitted via our online order form - By clicking “Submit Order” on our online order form you are making an offer to take out a subscription which, if accepted by us at our sole discretion, will result in a binding contract. When you place your order your credit/debit card will be debited when you click "Submit Order”. You will receive an email acknowledging that your order has been accepted and providing details of your username and password for online access (“Confirmation”). The Confirmation will also include a receipt for your subscription fees.
b. Orders submitted via our hard copy order form – By submitting our hard copy order form you are making an offer to take out a subscription which, if accepted by us at our sole discretion, will result in a binding contract. When you place your order your credit/debit card will be debited by our sales person when they have processed your hard copy order form. You will receive a Confirmation.
2.2 Notwithstanding the provisions of Condition 2.1, we may at our sole discretion choose to accept orders by means other than an order form but, in any event, these Conditions shall apply.
2.3 We will not be responsible if you fail to receive the Confirmation because you have supplied us with an incorrect address. All orders are subject to validation checks and authorisation by your payment card issuer.
3. TERMS OF PAYMENT
Charges for the Magazine are as stated on the order form. All sums are payable in advance. We will not be bound to supply the Magazine unless and until: (a) we receive a properly completed order form from you; and (b) we send Confirmation to you; and (c) we have received payment in full for the Magazine.
4. SUBSCRIPTION PERIOD AND DELIVERY
4.1 Subject to payment of our charges pursuant to Condition 3, we agree that for a period of 12 months from the date that your order form is accepted by us in accordance with clause 2 (the “Subscription Period”) we will:
a. provide you with access to the online version of the Magazine via our site; and
b. deliver one hardcopy per month of the current issue of the Magazine to the address you notify to us when you submit the order form.
4.2 If your order form is accepted by us up to and including the 20th day of the month you will receive that month’s hard copy issue of the Magazine. If your order form is accepted by us after the 20th day of the month the first hard copy of the Magazine you receive will be the following months’ issue.
4.3 You agree that we will not be responsible for failure to deliver the Magazine if you have supplied us with an incorrect address. We reserve the right to dispose of incorrectly addressed envelopes and their contents without an obligation to refund you or any other person if they are returned to us and despite efforts to contact you we do not receive correct address details.
4.4 If you cancel your subscription before the end of the Subscription Period you will not be entitled to a refund.
5. INTELLECTUAL PROPERTY RIGHTS
The Magazine and its contents are protected by international copyright laws, database rights and other intellectual property rights. The owner of these rights is us and/or our affiliates or other third party licensors. All product and company names and logos contained within the Magazine are the trade marks, service marks or trading names of their respective owners, including us. All rights which are not specifically granted to you by these Conditions are reserved by us.
6. LIABILITY
6.1 Our liability to you in the event of a Magazine being lost in despatch shall, at our discretion, be limited either to replacement of the missing issue or a refund of the cost of the missing issue. To the extent permitted by law we exclude all other liability to you.
6.2 All indemnities, warranties, terms and conditions (whether express or implied) are hereby exclude to the fullest extent permitted by law. In particular (but not limited to), neither we nor any of our officers, employees or agents warrants the accuracy, timeliness or completeness of the contents of the Magazine. In circumstances where you suffer loss or damage arising out of or in connection with the viewing or use of the Magazine, we accept no liability for this loss or damage whether due to inaccuracy, error, omission or any other cause and whether on the part of us or any other person or entity. The Magazine is provided on an “as is” basis and you assume total responsibility and risk for its use of the information and content in the Magazine.
6.3 We will not be liable, in contract or tort (including, without limitation, negligence), for any economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings) loss of goodwill or reputation special or indirect losses suffered or incurred by you arising out of or in connection with the Magazine or our site.
6.4 Our aggregate liability (whether in contract, tort or otherwise) for loss or damage shall in any event be limited to a sum equal to the amount paid or payable by you for the subscription to the Magazine in respect of one incident or series of incidents attributable to the same cause.
6.6 We will take all reasonable precautions to keep the details of your subscription and payment secure, but, unless we are negligent, we cannot be held liable for any losses caused as a result of unauthorised access to information provided by you.
6.7 Nothing in these Conditions shall exclude or restrict liability which cannot be excluded or restricted by the applicable law.
7. ACCESS TO THE MAGAZINE VIA OUR SITE
7.1 You are solely responsible in all respects for all use of and for protecting the confidentiality of any username and password that you may set or which may be given to you or selected by you for access to the Magazine via our site. You should not permit others to use your username or password and you will remain liable for the acts by any person using your username and password. You must notify us immediately of any unauthorised use of your username or password or any other breach of security regarding our site that comes to your attention.
7.2 We will of course try to make the Magazine via our site available but cannot guarantee that our site will operate continuously or without interruptions or that it will be error free and we do not accept any liability for its unavailability.
7.3 We reserve the right at any time, without notice to you, to: (a) make changes or corrections and to alter, suspend or discontinue any aspect of our site; (b) vary the technical specification of our site; (c) temporarily to suspend your access to our site (including your access to the Magazine) for the purposes of maintenance or upgrade (but we will use our reasonable endeavours to minimise the period of suspension); and (d) at any time to withdraw from our site any Magazine (or any part of the Magazine) to which you have subscribed if we cease to publish or cease to have the right to publish the relevant Magazine or if the same is the subject of a libel or copyright or other third party right infringement allegation and we considers that withdrawal is advisable in the circumstances.
8. DATA PROTECTION AND PRIVACY
We will not use the personal data which you provide to us otherwise than in accordance with our privacy policy which can be accessed by at www.cityscape-magazine.com/pp.aspx

10. GENERAL
10.1 These Conditions, the order form, our terms and conditions of site use and our privacy policy (www.cityscape-magazine.com/pp.aspx) form the entire agreement between us and supersedes any previous agreements, arrangements, representations, undertakings and warranties between the parties relating to the subject matter of this agreement whether spoken or in writing
10.2 Any notice or other communication to be given under these Conditions must be in writing and may be delivered or sent by pre-paid first class letter post or facsimile transmission. Any notice or document shall be deemed served, if delivered, at the time of delivery; if posted, 48 hours after posting, and if sent by facsimile transmission, at the time of transmission.
10.3 If and to the extent that there is any conflict between your accepted order form and these Conditions, the terms of your order form shall prevail.
10.4 No waiver by us of any breach of these Conditions by you shall be considered as a waiver of any subsequent breach of the same or any other provision.
10.4 The invalidity, illegality or unenforceability of any provision of these Conditions in whole or in part shall not prejudice the effectiveness of the rest of these Conditions or the remainder of any part of a Condition affected.
10.5These Conditions shall be governed by and construed in accordance with
the laws of the Emirate of Dubai and such Federal Laws of the UAE as shall be applicable
in the Emirate of Dubai and the Courts of Dubai shall have exclusive jurisdiction
over all disputes arising out of or in connection with them.
